Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HelpMeDaddy LLC, a Florida limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the HelpMeDaddy mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you affirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, you must not access or use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be legally capable of entering into a binding contract
• Not be prohibited from using the Service under applicable law
• Not have had a prior account terminated for violation of these Terms

THE SERVICE IS STRICTLY INTENDED FOR ADULTS AGED 18 AND OLDER. We do not knowingly permit use by minors. If we discover a user is under 18, we will immediately terminate the account and delete associated data.

3. Account Registration

3.1 Account Creation

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at contact.helpmedaddy@gmail.com if you suspect any unauthorized use of your account.

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts may result in termination of all associated accounts.

4. The Service

4.1 Description

HelpMeDaddy is an AI-powered accountability and task management platform. The Service includes goal setting, task tracking, a rewards and consequences system, an AI accountability assistant powered by third-party large language model technology, and a customizable avatar system.

4.2 AI-Generated Content

The Service uses artificial intelligence technology, including the Anthropic Claude API, to generate accountability messages, coaching content, and other communications. You acknowledge that:

• AI-generated content is not professional advice of any kind (medical, psychological, legal, or financial)
• AI responses may occasionally be inaccurate, inappropriate, or inconsistent
• The AI accountability persona is a fictional construct for motivational purposes only
• We are not liable for decisions you make based on AI-generated content

4.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Subscription, Payments, and Billing

5.1 Subscription Plans

The Service offers free and paid subscription tiers. Paid subscriptions provide access to additional features as described on our pricing page, which may be updated from time to time.

5.2 Billing

By subscribing to a paid plan, you authorize us (or our third-party payment processor) to charge your designated payment method on a recurring basis at the then-current subscription rate. All fees are stated in U.S. dollars.

5.3 One-Time Purchases and In-App Upgrades

Certain features, avatar customizations, or add-ons may be available for one-time purchase. All purchases are final and non-refundable unless otherwise required by applicable law.

5.4 Free Trials

If we offer a free trial, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact.helpmedaddy@gmail.com. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial subscription periods.

5.6 Price Changes

We reserve the right to change subscription prices at any time. We will provide at least 30 days' notice of any price change. Your continued use of the Service after the price change constitutes your acceptance of the new pricing.

5.7 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. We are not responsible for collecting, reporting, or remitting taxes on your behalf, except as required by law.

6. Refund Policy

All subscription fees and one-time purchases are generally non-refundable. Exceptions may be made at our sole discretion in cases of technical failure attributable to the Company. To request a refund consideration, contact us at contact.helpmedaddy@gmail.com within 7 days of the charge.

7. User Conduct and Prohibited Uses

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Engage in any form of harassment, abuse, or threatening behavior toward other users or Company personnel
• Attempt to gain unauthorized access to the Service, its servers, or databases
• Reverse engineer, decompile, or disassemble any portion of the Service
• Upload or transmit viruses, malware, or any other harmful code
• Collect or harvest personal information of other users without consent
• Use the Service for any commercial purpose without our express written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Service
• Use automated scripts, bots, or scrapers to access the Service

8. Intellectual Property

8.1 Our Rights

The Service and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of HelpMeDaddy LLC or its licensors and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

8.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

8.3 User Content

You retain ownership of any content you submit to the Service (goals, tasks, notes, etc.). By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process that content solely for the purpose of providing the Service to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services including payment processors and AI providers (including Anthropic). Your use of such third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

THE AI ACCOUNTABILITY FEATURES ARE FOR MOTIVATIONAL AND ENTERTAINMENT PURPOSES ONLY AND DO NOT CONSTITUTE MENTAL HEALTH TREATMENT, THERAPY, COUNSELING, OR ANY FORM OF PROFESSIONAL HEALTHCARE SERVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELPMEDADDY LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless HelpMeDaddy LLC and its members, managers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Florida for any disputes arising under these Terms.

14.2 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at contact.helpmedaddy@gmail.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Florida, or via videoconference at our election.

14.4 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

14.5 Exception

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with your local laws. We make no representation that the Service is appropriate or available in locations outside the United States.

Users in the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws acknowledge that their data may be transferred to and processed in the United States. Please review our Privacy Policy for details on international data transfers and your applicable rights.

16. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service immediately ceases. Sections 7, 8, 11, 12, 13, 14, and 18 shall survive termination.

17. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the new Terms on the Service and updating the effective date, and where required by law, by sending you an email notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

18.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control.
